DL 109-D/2021, published on 9/12, has created a new regime for the online registration of permanent representations of companies, which covers, in particular, those having their headquarters in another Member State of the European Union, called an "online branch". This new regime is intended, in particular, to help companies established in the internal market to more easily expand their cross-border economic activities, thus contributing to reducing the costs, administrative burdens and duration of procedures related to expansion at international level, without neglecting the necessary exchange of information between Member States, in compliance with the technical requirements defined by Union law.
Several laws have also been amended, adapting them to Directive 2019/1151, especially with regard to the online constitution of companies already implemented. The opportunity was taken to accept the requirement of declaration of acceptance of the position of management and administration.
Finally, with a view to the implementation of the Simplex measure "Email address on the certificate", it is established the possibility for interested parties, wanting, at the time of the application for registration of facts relating to the company, to provide email addresses so that they are recorded in the registration and, subsequently, can be known through the registration certificate.
